NexPixel Terms & Conditions

Welcome to NexPixel. These Terms & Conditions (“Terms”) govern your use of the NexPixel website and any services provided by NexPixel. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. About NexPixel

NexPixel provides professional digital services, including but not limited to:

• Custom Website Design
• Website Development
• Web Hosting
• Website Maintenance
• Website Support
• Domain Registration Assistance
• Business Email Setup
• Google Business Profile Setup
• Google Ads Setup
• Website Consultation

2. Quotations

• All quotations are provided free of charge unless otherwise stated.
• Quotations are valid for 30 days from the date of issue.
• Quotations are based on the information supplied by the client.
• Any changes to the project scope after acceptance may require a revised quotation.
• Additional work requested outside the original quotation will be charged separately.

3. Project Acceptance

A project is considered accepted once:

• The client has accepted the quotation in writing.
• A 30% non-refundable deposit has been received by NexPixel.

No work will commence until the required deposit has been paid.

4. Payment Terms

Unless otherwise agreed in writing:

• A 30% non-refundable deposit is required before any website design or development work begins.
• The remaining 70% balance is payable upon completion of the project and must be paid before the website is launched, transferred, or made publicly accessible.
• Domain registration fees must be paid in full upfront before registration can be completed.
• Web hosting fees must be paid in full upfront before hosting services are activated or renewed.
• Website maintenance plans are payable in advance according to the selected billing cycle.
• Any additional work outside the agreed project scope will be quoted and invoiced separately.
• All invoices must be paid by the due date stated on the invoice.

NexPixel reserves the right to suspend work, withhold delivery, delay website launch, suspend hosting services, or refuse the transfer of website files until all outstanding balances have been settled in full.

5. Client Responsibilities

The client agrees to provide all necessary materials required to complete the project, including but not limited to:

• Logos
• Images
• Written content
• Branding guidelines
• Product information
• Login credentials (where applicable)
• Feedback and approvals

Project timelines may be extended where delays are caused by the client failing to provide the required information.

6. Project Timelines

Estimated completion dates are provided in good faith but are estimates only.

NexPixel shall not be held responsible for delays caused by:

• Client delays
• Late payments
• Third-party providers
• Domain registrars
• Hosting providers
• Technical issues beyond our control
• Force majeure events

7. Website Content

The client warrants that all supplied content:

• Is owned by the client or properly licensed.
• Does not infringe any copyright or intellectual property rights.
• Does not violate any applicable laws.
• Is accurate and lawful.

NexPixel accepts no responsibility for claims arising from client-supplied content.

8. Revisions

The number of revisions included will be outlined within the accepted quotation.

Additional revisions beyond those included may incur additional charges.

Major changes requested after design approval may require a new quotation.

9. Ownership & Intellectual Property

Upon receipt of full payment:

• Ownership of the completed website content transfers to the client.
• Third-party themes, plugins, fonts, stock images and software remain subject to their respective licences.
• NexPixel retains ownership of its internal development methods, reusable code, templates and proprietary systems.

Until full payment has been received, all work remains the property of NexPixel.

10. Portfolio Rights

Unless otherwise agreed in writing, NexPixel reserves the right to display completed projects within its:

• Portfolio
• Website
• Social media platforms
• Marketing materials
• Promotional content

This allows NexPixel to showcase completed work for promotional purposes.

11. Domain Names & Web Hosting

Where NexPixel provides domain registration or hosting services:

• Domain registration fees are payable in full upfront.
• Hosting fees are payable in full upfront before activation or renewal.
• Hosting operates on a subscription basis.
• Domain names and hosting services must be renewed before their expiry dates.
• Failure to renew may result in website downtime, email interruption or permanent loss of the domain name.
• NexPixel will make reasonable efforts to issue renewal reminders but cannot guarantee that reminders will be received.
• The client remains responsible for ensuring all renewals are paid on time.

While every effort is made to provide reliable hosting services, uninterrupted uptime cannot be guaranteed.

12. Website Maintenance

Maintenance plans may include:

• WordPress core updates
• Plugin updates
• Theme updates
• Website backups
• Security monitoring
• Performance optimisation
• Minor content updates (where included)

Services outside the selected maintenance package will be quoted separately.

13. Third-Party Services

NexPixel may integrate services provided by third parties, including but not limited to:

• Google Analytics
• Google Business Profile
• Google Ads
• Payment gateways
• Email providers
• Hosting providers

NexPixel cannot guarantee the continued operation or availability of any third-party service.

14. Search Engine Optimisation (SEO)

Where SEO services are provided:

• No guarantees are made regarding search engine rankings.
• Results vary depending on competition, industry and search engine algorithms.
• Search engine rankings may fluctuate over time.

15. Website Security

NexPixel implements industry-standard security practices wherever possible.

However, no website can be guaranteed to be completely secure.

NexPixel shall not be held responsible for losses resulting from:

• Malware
• Hacking
• Data breaches
• Third-party software vulnerabilities
• Client negligence
• Weak passwords

16. Limitation of Liability

To the maximum extent permitted by South African law, NexPixel shall not be liable for:

• Loss of profits
• Loss of business
• Loss of data
• Business interruption
• Website downtime
• Cyber attacks
• Third-party outages
• Domain expiry
• Search engine ranking changes
• Indirect or consequential damages

Our total liability shall not exceed the total amount paid by the client for the affected service.

17. Website Availability

Although NexPixel aims to provide reliable services, uninterrupted website availability cannot be guaranteed.

Scheduled maintenance, software updates and third-party infrastructure issues may occasionally affect service availability.

18. Privacy

NexPixel respects your privacy.

Personal information collected through our website or during the provision of services is handled in accordance with our Privacy Policy and applicable South African privacy legislation, including the Protection of Personal Information Act (POPIA).

19. Cancellation & Termination

Either party may terminate services by providing written notice.

Where cancellation occurs:

• The initial 30% deposit is non-refundable.
• Any completed work performed beyond the deposit value will be invoiced accordingly.
• Outstanding invoices remain payable immediately.
• Hosting, maintenance and support services may be suspended or terminated where invoices remain unpaid.

20. Changes to these Terms

NexPixel reserves the right to amend these Terms & Conditions at any time.

Any revised version will be published on this website together with an updated effective date.

Continued use of our website or services constitutes acceptance of the revised Terms.

21. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the South African courts.
